First off, thank you so much for trying out Ultrainbox. Here is a quick detailing of our terms and conditions relating to use of our product and service. Please read them carefully.
Where possible, we have placed an explainer to share why a particular term is stated as such.

1. GENERAL INFORMATION
Ultrainbox is a messaging and productivity platform that enables users to integrate messages and communication from multiple apps into one inbox, and is available over Web browsers, Windows & Mac desktops, as well as Android & iOS Mobile Apps, over the domain https://ultrainbox.io, and various sub domains such as web.ultrainbox.io, app.ultrainbox.io, and hereinafter referred to as the "Product". These Terms of Use relate to use of the Product and are a legally binding agreement entered into between you, the User, and Mini Venture Lab Limited, a company incorporated under the Companies Act 2006 having its registered office in England and Wales having company number 12551293 (herein after referred to as "Company" or "Ultrainbox" and referenced by words like "we" "us" "our"), which operates the Product via a license agreement with Mini Venture Lab Private Limited, a Company incorporated in India and having the same Directors as Mini Venture Lab Limited. The Product allows users to communicate and collaborate in chat groups created and managed by themselves or other users; it also allows users to connect other chat services, social media direct messages, and email accounts to view messages across these services in one inbox on the Product; furthermore users can manage projects, tasks, to do's, online documents etc. using the Workflows feature; each of these maybe referred to individually as a "Service" or collectively as the "Services".
Terms of Use shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of London. Any dispute or difference arising out of these Terms of Use shall be resolved amicably between the parties, failing which any party can refer such dispute to arbitration as per Arbitration and Conciliation Act, 1996.
The words visitor, user, you, hereunder, refer to the person visiting, opening, accessing, browsing through and/or using the Product at any point in time.
BY SIGNING UP AND CONSENTING TO USE AND/OR ACCESS THE PRODUCT YOU ACCEPT THE TERMS OF USE AND AGREE TO BE LEGALLY BOUND BY THE SAME. IF YOU DO NOT AGREE WITH THE TERMS OF USE HEREIN, YOU HAVE THE CHOICE TO NOT USE OR ACCESS THE PRODUCT.
These Terms of Use may be revised from time to time, at the sole discretion of Ultrainbox, and users are advised to view these from time to time prior to using the Product. Ultrainbox will, however, on a best effort basis, attempt to inform users of any changes via emails or in-app alerts or SMS to their registered email id / device id or mobile number in addition to providing the updated terms on the Website. It is the users' responsibility to check updated terms made before using the Product.
2. PRODUCT & SERVICES
Ultrainbox is a messaging and productivity platform that enables users to integrate messages and communication from multiple apps into one inbox, and is available over Web browsers, Windows & Mac desktops, as well as Android & iOS Mobile Apps, over the domain https://ultrainbox.io, and various sub domains such as web.ultrainbox.io, app.ultrainbox.io. It is built on top of the decentralised messaging protocol matrix.org ( hereinafter referred to as "Matrix", more information at https://matrix.org ) that involves installing a "matrix homeserver" on Ultrainbox's own servers, and that acts as a decentralised node connecting with other instances of matrix.org. It allows users to communicate and collaborate in chat groups created and managed by themselves or other users; it also allows users to connect other chat services, social media direct messages, and email accounts to view messages across these services in one inbox on the Product; furthermore users can manage projects, tasks, to do's, online documents etc. using the Workflows feature.
All elements of the Product, Services, content and information made available to you through this app are provided on "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Ultrainbox does not warrant that the Product and/or Services will be uninterrupted, timely, secure, or error-free. Ultrainbox will not be liable to you in any way, in relation to the Product, Services, content and information, or otherwise in connection with the use of the Product.
IN NO EVENT SHALL ULTRAINBOX BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUES, PROFITS, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, DATA OR ANY OTHER TANGIBLE OR INTANGIBLE LOSSES, IN CONNECTION WITH THE PRODUCT OR SERVICES.
Ultrainbox may, at its sole discretion, decide to stop the Product and/or Services, giving reasonable notice to users. In such an event, all content and data stored on the Product or Services may not be recoverable. Ultrainbox will however endeavour to provide you with an option to download certain data, associated with your account, and stored on the Product.
SPECIFIC & ADDITIONAL TERMS FOR CONNECTING TO EXTERNAL CHAT SERVICES AND SOCIAL DIRECT MESSAGES
Ultrainbox provides a feature that allows users to connect with external chat services like Whatsapp, Slack, Microsoft Teams, Signal, Discord, Skype, Twitter, LinkedIn etc. and view messages received on them in one inbox on Ultrainbox. These additional terms clarify how we:
(i) connect to these chat and social direct message services
(ii) what data we access, edit or modify, when we connect to these services, if at all
(iii) what, and how, we store data related to these services, if at all
[Note on how Ultrainbox works for integrating chat: Ultrainbox has been built using the federated server protocol of matrix.org - Matrix is an upcoming standard for decentralised instant messaging. What exactly does this mean? Today when you chat on any app, say whatsapp you can only message other users that also use whatsapp. With federated messaging the hope is that each user can create their own app (or server) that they can use to talk to any other user, irrespective of the service they are on. This decentralised and federated network is enabled by non-profit standards like Matrix. There is another useful functionality with Matrix: The Matrix protocol alongwith Matrix bridges /Matrix bots also help users connect to apps of today (whatsapp, slack etc.) and bring them into Matrix. Matrix bots do this by connecting to these services using secure Websockets or provided APIs. Ultrainbox uses this feature to bring messages from all of your existing apps in one place. In the future you may be able to message anyone from any network, using your Matrix ID.]
Terms for external chat and social direct messaging services:
You connect each chat or social direct message service to Ultrainbox, using the password, username, and 'login via' mechanism of the respective service. The Matrix bot installed on Ultrainbox's server uses these details to connect to the service and retrieve messages.
When you connect your chats or social direct messages, we do not have access to, nor do we store, your login, username or password of that service [Note: You are required to enter login information for LinkedIn on our interface - but this information is not stored on Ultrainbox]. We connect to the respective service using a secure connection via APIs or websockets and that service validates and informs us of a successful login; post which you are able to see your messages from that service on the Ultrainbox interface. [Note: we receive metadata associated with your user ID on these services, which may at times include your mobile number or email ID for e.g. Whatsapp mobile, we do not actively organise and store this data in anyway, but it is available as part of your message metadata.]
When you connect a service as described above, your messages are received, decrypted (if applicable), re-encrypted (if applicable) to enable end-to-end encryption using the the Olm and Megolm cryptographic ratchets as supported by matrix.org, for services that are encrypted, and stored on Ultrainbox servers to be made visible to your Ultrainbox web browser, desktop or mobile application. Other than messages, any content in your Workflow tas boards is also stored at rest using AES Cryptographic Encryption Algorithms. Your username i.e. your email ID and group names, workflow task board names & column names, and #tags used for organising your inbox or to organise messages inside a group are currently not encrypted. SPECIFIC & ADDITIONAL TERMS FOR USING ULTRAINBOX NATIVE GROUPS & MESSAGING
Ultrainbox provides a feature whereby users can create a native Ultrainbox group i.e. a group on the Ultrainbox service itself. You do not require to re-login for using this feature. When using this feature it is important to note that Ultrainbox stores all user content, including messages between users (including in a group), group names etc. on its servers. These messages and content may or may not be end-to-end encrypted, depending on the settings you have enabled. Furthermore, Ultrainbox native groups are a part of matrix.org protocol and hence any public group is visible and can be joined by any matrix.org user. We do not require, nor do we display, any personal information like mobile numbers and email IDs when you make a native Ultrainbox group.
SPECIFIC & ADDITIONAL TERMS FOR EMAIL CLIENT SERVICE
Ultrainbox provides an email client feature that allows users to connect and view emails from their email service provider on the Ultrainbox interface. These additional terms clarify how we:
(i) connect to these email services
(ii) what data we access, edit or modify, when we connect to these services, if at all
(iii) what, and how, we store data related to these emails, if at all
You can connect your existing email account in two primary ways:
a. Using a Login via the email service (hereinafter referred to as "Login Via") for e.g. Login via Google or Login via Outlook
b. Using IMAP account details (hereinafter referred to as "IMAP Login") by entering the username and password of your email service
Terms for Login Via email service:
When you connect your email service to the Ultrainbox email client using a Login Via option, we do not have access to your password. We connect to the respective email service that authenticates you using APIs, and that service validates and informs us of a successful login.
During the login process you grant us certain permissions that will allow you to perform certain actions using our interface, including:
(i) Access and manage your emails, including the ability to read, compose, send, and permanently delete emails or drafts
(ii) Access and edit your email labels
(iii) Access and manage your email settings
(iv) View and manage your calendar, including the ability to create, edit or delete events, on your behalf
(v) View and manage your calendar settings
While you view and edit emails as described above, your emails do not pass through our servers, nor do we store any of these emails on our servers. Any emails, and related information, are stored locally on your web browser, desktop application, or mobile application and shown by directly fetching emails from your service provider.
We do however store email meta data on our servers such as email identifier, email sender, email time and date etc. to be able to help you organise your emails using the #tag functionality on Ultrainbox.
Specifically for Login via Google please note that Ultrainbox's use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.
Terms for IMAP Login:
When you connect your email service to the Ultrainbox email client using IMAP Login, we ask for your username and password on these services. We do not store this information on our servers. This information is only stored locally, on your device web browser, desktop app or mobile app.
After the login, you will be able to perform certain actions using our interface, including:
(i) Access and manage your emails, including the ability to read, compose, send, and permanently delete emails or drafts
(ii) Access and edit your email labels
(iii) Access and manage your email settings
(iv) View and manage your calendar, including the ability to create, edit or delete events, on your behalf
(v) View and manage your calendar settings
While you view and edit emails as described above, your emails will securely pass through our servers, but will not be stored on our servers. Any emails, and related information, are stored locally on your web browser or mobile application.
We do however store email meta data on our servers such as email identifier, email sender, email time and date etc. to be able to help you organise your emails using the #tag functionality on Ultrainbox.
3. ELIGIBILITY, ACCOUNT & TERMINATION
Use of the Product is available only to persons above the age of Sixteen (16) years. If you are under the age of 16 years, you shall not register as a User of the Product, and if you wish to use or transact on the Product, such use or transaction may be made by your legal guardian or parents on the Product. Ultrainbox reserves the right to terminate your account and / or refuse to provide you access to the Product if it is brought to our notice or if it is discovered that you are under the age of 16 years, without parental supervision.
Amongst other methods, Ultrainbox uses a email and/or mobile authentication and verification method for use of the Product. You shall be responsible for maintaining the confidentiality, and safe keeping, of your Email and/or mobile number and password. Furthermore, you shall be responsible for all activities that occur under your Email id , mobile number or username.
Ultrainbox may, at its sole discretion, with or without reason, and with or without prior notice, block your account and terminate your access to the Product if you have violated any terms of this Terms of Use. You also agree that any violation by You of the Terms of Use may cause irreparable harm to Ultrainbox, for which monetary damages may be inadequate, and you consent to Ultrainbox obtaining any injunctive or equitable relief that Ultrainbox deems necessary or appropriate in such circumstances.
4. CONTENT, LICENSE TO USE, & PROHIBITED ITEMS
You are solely responsible for any content (including messages) that you provide, share or upload to the Product, including any text, data, url, link, information, images, photographs, music, sound, video or any other material which you may upload, transmit or store when making use of the Product. You expressly agree that by posting, uploading, listing or exhibiting content on the Product, you grant Ultrainbox the right to transmit and/or process the content without any further consent, notice or compensation to you.
Ultrainbox does not screen, nor is responsible for, any content uploaded on, or transmitted via, its Product, and does not guarantee in any way that any content visible on or via its platform has been screened. Ultrainbox does not warrant, nor makes any representations that content provided on the Product is accurate, complete, reliable, current, or error-free and Ultrainbox assumes no liability in this regard.
Users must not host, display, upload, modify, publish, transmit, update or share any product, content or information that:
(a) belongs to another person and to which the user does not have any right to;
(b) is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
(c) harm minors in any way;
(d) infringes any patent, trademark, copyright or other proprietary rights;
(e) violates any law for the time being in force;
(f) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
(g) impersonate another person;
(h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
(i) threatens the unity, integrity, defence, security or sovereignty of any country, or is insulting to any nation.
5. FEES, CHARGES & FREE TRIAL
Currently Ultrainbox does not charge users for visiting, accessing, browsing or using its Product and/or Services. However, it is likely to introduce a Monthly pricing of $12 per User per month and an Annual plan of $99 per User per Year. Users may chose either of the plans to be an active user of the Product. The latest pricing plans maybe viewed at https://ultrainbox.io . In addition to these, internet, mobile data and internet service provider charges and/or SMS charges may be applicable as per your telecom operator or internet service providers pricing plan when visiting, accessing, browsing or using the Product and Services.
Ultrainbox shall offer a 30 day free trial to any user registering on the Product for the first time. Users that chose to subscribe to the Monthly or Annual plan during this 30 day free trial will be able to continue to use the service. User's that do not chose to continue their free trial will be allocated another 30 days to download any associated data, post which their account will be closed.
If you are a trial, testing or early user of our Public Alpha product, we may extend a special free trial offer that shall be communicated closer to when pricing is set to be introduced.
Storage limits associated with your account factor in any and all data that is stored on the Product and associated with your account, including but not limited to any meta data, files, messages you chose to store on the Product or workflows based content your add on the Product.
Furthermore, while the Product currently offers the ability to add unlimited users in a native Ultrainbox chat group, Ultrainbox reserves the right to modify this limit at its sole discretion at a time of its choosing.
Furthermore, Ultrainbox may at its sole discretion introduce new services and/or modify some or all of the existing Services offered by it, including any fees associated with such existing or new Services. Changes to fees and charges shall be posted on the Product and such changes shall automatically become effective immediately after they are posted.
6. NO WARRANTY
All elements of the Product, Services, content and information made available to you through this Product are provided on "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Ultrainbox will not be liable to you in any way, or in relation to the Product, Services, content and information, or use of, or otherwise in connection with the Product. While Ultrainbox undertakes reasonable measure, it does not make any representation or Warranty towards Product availability and performance, including but not limited to, quality, accuracy, reliability, security, scalability and speed of the Product and/ or Services. You also understand that we cannot and do not guarantee or promise that the Product will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements.
You understand and agree to indemnify, and to not hold Ultrainbox accountable, in the event of a unauthorised and/or forced data breach that compromises your data on the Product. Ultrainbox uses reliable cloud service providers but makes no warranty or guarantee that its Product or Services are free from risk of hacking and/or unauthorised breach.
You also understand and accept that Ultrainbox is not a data backup or storage service provider and hence gives no guarantee of availability of any content posted on it's Product or Services. It may from time to time also restrict the time period for which historical data is available on its servers.
Furthermore, Ultrainbox is not responsible for any non-performance or breach of any contract entered into between users. Ultrainbox cannot and does not guarantee that the concerned users will perform or conclude any action or transaction discussed or committed on the Product. Ultrainbox shall not and is not required to mediate or resolve any dispute or disagreement between users. Users are advised to engage with known persons /users or independently verify the bona fides of any particular user that they choose to deal with on the Product.
7. INDEMNIFICATION & LIMITATION OF LIABILITY
You shall indemnify, and keep indemnified, Ultrainbox, its affiliates, subsidiaries, group companies, and their respective officers, directors, agents, and employees, against any liability, damage, expense, claim or cost (including reasonable legal fees and costs) suffered by or directly or indirectly arising out of your breach of these Terms of Use or your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.
IN NO EVENT SHALL ULTRAINBOX BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUES, PROFITS, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, DATA OR ANY OTHER TANGIBLE OR INTANGIBLE LOSSES, IN CONNECTION WITH THE PRODUCT OR SERVICES.
Notwithstanding anything written or otherwise, Ultrainbox's liability in contract, tort or otherwise (including negligence) howsoever arising out of, or in connection with these terms, shall not exceed, in total, regardless of the number of claims, in respect of all matters, an amount equal to the amount of any fees & charges paid by you to Ultrainbox. Where no such fees & charges are payable by you to Ultrainbox, the limit of liability shall be £1 (Great Britain Pound One Only).
8. COPYRIGHT, TRADEMARKS
All intellectual property, trademarks, logos and service marks, relating to the Product belong to Ultrainbox. Using the Product or Services in no way gives you ownership of our intellectual property, trademarks or service marks.
Subject to your compliance with these Terms of Use, Ultrainbox grants you a non-exclusive, non-sub-licensable, non-transferable, revocable, and limited right to access and use the Product and Services.
9. PRIVACY & DATA
Your privacy is important to us. In order to ensure this we minimize the data we collect, however in order for you to access and use our service we still do require to collect some data. For understanding how we collect and use your data, please review our Privacy Policy on https://ultrainbox.io .
We may disclose personal information or content if required to do so by law or in good faith that such disclosure is reasonably necessary to respond to subpoenas, court orders, or other legal process.
10. NO PERSONAL DATA USE BY USERS
Ultrainbox has not granted any user a license to use any personal information or content of another user for unsolicited commercial messages or for inclusion of any user into any email or physical mailing list, SMS broadcast service, without express consent from the user. In the event a breach of this clause is brought to Ultrainbox's notice, Ultrainbox, with or without notice, reserves the right to ban, remove, disable or otherwise block infringing user(s) from utilising the Product or Services.
11. FORCE MAJURE
If performance of any service or obligation under these Terms of Use is prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, biochemical or virus attacks, utility or communication failures, telecommunications, Internet or network failure, acts of God, floods, lightning, severe weather, rioting, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or a forced data breach, hacking of App, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable control of Ultrainbox and could not have been prevented by reasonable precautions (each, a "Force Majure Event"), then Ultrainbox shall be excused from such performance to the extent of and during the period of such Force Majure Event. Ultrainbox shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.

[Note on how Ultrainbox works for integrating chat: Ultrainbox has been built using the federated server protocol of matrix.org - Matrix is an upcoming standard for decentralised instant messaging. What exactly does this mean? Today when you chat on any app, say whatsapp you can only message other users that also use whatsapp. With federated messaging the hope is that each user can create their own app (or server) that they can use to talk to any other user, irrespective of the service they are on. This decentralised and federated network is enabled by non-profit standards like Matrix. There is another useful functionality with Matrix: The Matrix protocol alongwith Matrix bridges /Matrix bots also help users connect to apps of today (whatsapp, slack etc.) and bring them into Matrix. Matrix bots do this by connecting to these services using secure Websockets or provided APIs. Ultrainbox uses this feature to bring messages from all of your existing apps in one place. In the future you may be able to message anyone from any network, using your Matrix ID.]
Terms for external chat and social direct messaging services:
You connect each chat or social direct message service to Ultrainbox, using the password, username, and 'login via' mechanism of the respective service. The Matrix bot installed on Ultrainbox's server uses these details to connect to the service and retrieve messages.
When you connect your chats or social direct messages, we do not have access to, nor do we store, your login, username or password of that service [Note: You are required to enter login information for LinkedIn on our interface - but this information is not stored on Ultrainbox]. We connect to the respective service using a secure connection via APIs or websockets and that service validates and informs us of a successful login; post which you are able to see your messages from that service on the Ultrainbox interface. [Note: we receive metadata associated with your user ID on these services, which may at times include your mobile number or email ID for e.g. Whatsapp mobile, we do not actively organise and store this data in anyway, but it is available as part of your message metadata.]
When you connect a service as described above, your messages are received, decrypted (if applicable), re-encrypted (if applicable) to enable end-to-end encryption using the the Olm and Megolm cryptographic ratchets as supported by matrix.org, for services that are encrypted, and stored on Ultrainbox servers to be made visible to your Ultrainbox web browser, desktop or mobile application. Other than messages, any content in your Workflow tas boards is also stored at rest using AES Cryptographic Encryption Algorithms. Your username i.e. your email ID and group names, workflow task board names & column names, and #tags used for organising your inbox or to organise messages inside a group are currently not encrypted. SPECIFIC & ADDITIONAL TERMS FOR USING ULTRAINBOX NATIVE GROUPS & MESSAGING
Ultrainbox provides a feature whereby users can create a native Ultrainbox group i.e. a group on the Ultrainbox service itself. You do not require to re-login for using this feature. When using this feature it is important to note that Ultrainbox stores all user content, including messages between users (including in a group), group names etc. on its servers. These messages and content may or may not be end-to-end encrypted, depending on the settings you have enabled. Furthermore, Ultrainbox native groups are a part of matrix.org protocol and hence any public group is visible and can be joined by any matrix.org user. We do not require, nor do we display, any personal information like mobile numbers and email IDs when you make a native Ultrainbox group.
SPECIFIC & ADDITIONAL TERMS FOR EMAIL CLIENT SERVICE
Ultrainbox provides an email client feature that allows users to connect and view emails from their email service provider on the Ultrainbox interface.
These additional terms clarify how we:
(i) connect to these email services
(ii) what data we access, edit or modify, when we connect to these services, if at all
(iii) what, and how, we store data related to these emails, if at all
You can connect your existing email account in two primary ways:
a. Using a Login via the email service (hereinafter referred to as "Login Via") for e.g. Login via Google or Login via Outlook
b. Using IMAP account details (hereinafter referred to as "IMAP Login") by entering the username and password of your email service
Terms for Login Via email service:
When you connect your email service to the Ultrainbox email client using a Login Via option, we do not have access to your password. We connect to the respective email service that authenticates you using APIs, and that service validates and informs us of a successful login.
During the login process you grant us certain permissions that will allow you to perform certain actions using our interface, including:
(i) Access and manage your emails, including the ability to read, compose, send, and permanently delete emails or drafts
(ii) Access and edit your email labels
(iii) Access and manage your email settings
(iv) View and manage your calendar, including the ability to create, edit or delete events, on your behalf
(v) View and manage your calendar settings
While you view and edit emails as described above, your emails do not pass through our servers, nor do we store any of these emails on our servers. Any emails, and related information, are stored locally on your web browser, desktop application, or mobile application and shown by directly fetching emails from your service provider.
We do however store email meta data on our servers such as email identifier, email sender, email time and date etc. to be able to help you organise your emails using the #tag functionality on Ultrainbox.
Specifically for Login via Google please note that Ultrainbox's use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.
Terms for IMAP Login:
When you connect your email service to the Ultrainbox email client using IMAP Login, we ask for your username and password on these services. We do not store this information on our servers. This information is only stored locally, on your device web browser, desktop app or mobile app.
After the login, you will be able to perform certain actions using our interface, including:
(i) Access and manage your emails, including the ability to read, compose, send, and permanently delete emails or drafts
(ii) Access and edit your email labels
(iii) Access and manage your email settings
(iv) View and manage your calendar, including the ability to create, edit or delete events, on your behalf
(v) View and manage your calendar settings

3. ELIGIBILITY, ACCOUNT & TERMINATION
Use of the Product is available only to persons above the age of Sixteen (16) years. If you are under the age of 16 years, you shall not register as a User of the Product, and if you wish to use or transact on the Product, such use or transaction may be made by your legal guardian or parents on the Product. Ultrainbox reserves the right to terminate your account and / or refuse to provide you access to the Product if it is brought to our notice or if it is discovered that you are under the age of 16 years, without parental supervision.
Amongst other methods, Ultrainbox uses a email and/or mobile authentication and verification method for use of the Product. You shall be responsible for maintaining the confidentiality, and safe keeping, of your Email and/or mobile number and password. Furthermore, you shall be responsible for all activities that occur under your Email id , mobile number or username.
Ultrainbox may, at its sole discretion, with or without reason, and with or without prior notice, block your account and terminate your access to the Product if you have violated any terms of this Terms of Use. You also agree that any violation by You of the Terms of Use may cause irreparable harm to Ultrainbox, for which monetary damages may be inadequate, and you consent to Ultrainbox obtaining any injunctive or equitable relief that Ultrainbox deems necessary or appropriate in such circumstances.
4. CONTENT, LICENSE TO USE, & PROHIBITED ITEMS
You are solely responsible for any content (including messages) that you provide, share or upload to the Product, including any text, data, url, link, information, images, photographs, music, sound, video or any other material which you may upload, transmit or store when making use of the Product. You expressly agree that by posting, uploading, listing or exhibiting content on the Product, you grant Ultrainbox the right to transmit and/or process the content without any further consent, notice or compensation to you.
Ultrainbox does not screen, nor is responsible for, any content uploaded on, or transmitted via, its Product, and does not guarantee in any way that any content visible on or via its platform has been screened. Ultrainbox does not warrant, nor makes any representations that content provided on the Product is accurate, complete, reliable, current, or error-free and Ultrainbox assumes no liability in this regard.
Users must not host, display, upload, modify, publish, transmit, update or share any product, content or information that:
(a) belongs to another person and to which the user does not have any right to;
(b) is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
(c) harm minors in any way;
(d) infringes any patent, trademark, copyright or other proprietary rights;
(e) violates any law for the time being in force;
(f) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
(g) impersonate another person;
(h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
(i) threatens the unity, integrity, defence, security or sovereignty of any country, or is insulting to any nation.
5. FEES, CHARGES & FREE TRIAL
Currently Ultrainbox does not charge users for visiting, accessing, browsing or using its Product and/or Services. However, it is likely to introduce a Monthly pricing of $12 per User per month and an Annual plan of $99 per User per Year. Users may chose either of the plans to be an active user of the Product. The latest pricing plans maybe viewed at https://ultrainbox.io . In addition to these, internet, mobile data and internet service provider charges and/or SMS charges may be applicable as per your telecom operator or internet service providers pricing plan when visiting, accessing, browsing or using the Product and Services.
Ultrainbox shall offer a 30 day free trial to any user registering on the Product for the first time. Users that chose to subscribe to the Monthly or Annual plan during this 30 day free trial will be able to continue to use the service. User's that do not chose to continue their free trial will be allocated another 30 days to download any associated data, post which their account will be closed.
If you are a trial, testing or early user of our Public Alpha product, we may extend a special free trial offer that shall be communicated closer to when pricing is set to be introduced.
Storage limits associated with your account factor in any and all data that is stored on the Product and associated with your account, including but not limited to any meta data, files, messages you chose to store on the Product or workflows based content your add on the Product.
Furthermore, while the Product currently offers the ability to add unlimited users in a native Ultrainbox chat group, Ultrainbox reserves the right to modify this limit at its sole discretion at a time of its choosing.
Furthermore, Ultrainbox may at its sole discretion introduce new services and/or modify some or all of the existing Services offered by it, including any fees associated with such existing or new Services. Changes to fees and charges shall be posted on the Product and such changes shall automatically become effective immediately after they are posted.
6. NO WARRANTY
All elements of the Product, Services, content and information made available to you through this Product are provided on "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Ultrainbox will not be liable to you in any way, or in relation to the Product, Services, content and information, or use of, or otherwise in connection with the Product. While Ultrainbox undertakes reasonable measure, it does not make any representation or Warranty towards Product availability and performance, including but not limited to, quality, accuracy, reliability, security, scalability and speed of the Product and/ or Services. You also understand that we cannot and do not guarantee or promise that the Product will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy your particular requirements.
You understand and agree to indemnify, and to not hold Ultrainbox accountable, in the event of a unauthorised and/or forced data breach that compromises your data on the Product. Ultrainbox uses reliable cloud service providers but makes no warranty or guarantee that its Product or Services are free from risk of hacking and/or unauthorised breach.
You also understand and accept that Ultrainbox is not a data backup or storage service provider and hence gives no guarantee of availability of any content posted on it's Product or Services. It may from time to time also restrict the time period for which historical data is available on its servers.
Furthermore, Ultrainbox is not responsible for any non-performance or breach of any contract entered into between users. Ultrainbox cannot and does not guarantee that the concerned users will perform or conclude any action or transaction discussed or committed on the Product. Ultrainbox shall not and is not required to mediate or resolve any dispute or disagreement between users. Users are advised to engage with known persons /users or independently verify the bona fides of any particular user that they choose to deal with on the Product.
7. INDEMNIFICATION & LIMITATION OF LIABILITY
You shall indemnify, and keep indemnified, Ultrainbox, its affiliates, subsidiaries, group companies, and their respective officers, directors, agents, and employees, against any liability, damage, expense, claim or cost (including reasonable legal fees and costs) suffered by or directly or indirectly arising out of your breach of these Terms of Use or your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.
IN NO EVENT SHALL ULTRAINBOX BE LIABLE FOR ANY SPECIAL, INCIDENTAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUES, PROFITS, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, DATA OR ANY OTHER TANGIBLE OR INTANGIBLE LOSSES, IN CONNECTION WITH THE PRODUCT OR SERVICES.
Notwithstanding anything written or otherwise, Ultrainbox's liability in contract, tort or otherwise (including negligence) howsoever arising out of, or in connection with these terms, shall not exceed, in total, regardless of the number of claims, in respect of all matters, an amount equal to the amount of any fees & charges paid by you to Ultrainbox. Where no such fees & charges are payable by you to Ultrainbox, the limit of liability shall be £1 (Great Britain Pound One Only).
8. COPYRIGHT, TRADEMARKS
All intellectual property, trademarks, logos and service marks, relating to the Product belong to Ultrainbox. Using the Product or Services in no way gives you ownership of our intellectual property, trademarks or service marks.
Subject to your compliance with these Terms of Use, Ultrainbox grants you a non-exclusive, non-sub-licensable, non-transferable, revocable, and limited right to access and use the Product and Services.
9. PRIVACY & DATA
Your privacy is important to us. In order to ensure this we minimize the data we collect, however in order for you to access and use our service we still do require to collect some data. For understanding how we collect and use your data, please review our Privacy Policy on https://ultrainbox.io .
We may disclose personal information or content if required to do so by law or in good faith that such disclosure is reasonably necessary to respond to subpoenas, court orders, or other legal process.
10. NO PERSONAL DATA USE BY USERS
Ultrainbox has not granted any user a license to use any personal information or content of another user for unsolicited commercial messages or for inclusion of any user into any email or physical mailing list, SMS broadcast service, without express consent from the user. In the event a breach of this clause is brought to Ultrainbox's notice, Ultrainbox, with or without notice, reserves the right to ban, remove, disable or otherwise block infringing user(s) from utilising the Product or Services.
11. FORCE MAJURE
If performance of any service or obligation under these Terms of Use is prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, biochemical or virus attacks, utility or communication failures, telecommunications, Internet or network failure, acts of God, floods, lightning, severe weather, rioting, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or a forced data breach, hacking of App, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable control of Ultrainbox and could not have been prevented by reasonable precautions (each, a "Force Majure Event"), then Ultrainbox shall be excused from such performance to the extent of and during the period of such Force Majure Event. Ultrainbox shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.
